FAT32ファイルシステムの最小サイズには65525以上のクラスタを含める必要があります*。クラスタサイズはセクタサイズの倍数です。あなたの例では、セクターサイズは4096です。mkfs.vfatクラスタあたりのセクタ数は、デフォルトの倍数である8を使用します。-s 1クラスタごとのセクタを指定するために使用されます。

mkfs.fat -v -F 32 -S 4096 -s 1 /dev/sde1

その結果、クラスターサイズは4096になります。これは、264MiBパーティションに少なくとも65525個のクラスターを収容できるほど小さくなければなりません。
